What a Company Secretary Does (and Whether You Need One)

Private companies haven’t been required to appoint a company secretary since 2006; public companies still must. But the duties never disappeared. Someone still has to file the confirmation statement, keep the PSC register current and update Companies House when your people change.

Confirmation Statement Filing

We track the date, prepare the CS01 and file inside the deadline due at least yearly, within 14 days of your review period ending. No fixed late fine, but a missed statement can trigger strike off and director prosecution, so the date matters more than the fee.

2026 Companies House Changes: What Directors Must Do Now

These rules change what you personally have to do not just what gets filed. Here’s what’s landed and the dates that matter.

Identity verification is mandatory

Since 18 November 2025, every new director and PSC must verify their identity on appointment. Existing directors and PSCs have until 17 November 2026 to verify, then enforcement begins. Verification runs through GOV.UK One Login or an Authorised Corporate Service Provider (ACSP).

Filing is restricted to verified people and ACSPs

From April 2026, only verified individuals or registered ACSPs can file at Companies House. An ACSP is an agent, Such as an accountancy firm authorised to verify identities and file on your behalf.

Fees have risen

From 1 February 2026 the online confirmation statement went from £34 to £50, and digital incorporation went from £50 to £100. We always quote the statutory fee alongside our own, so there are no surprises.

Filing Deadlines and Penalties

The rules differ for the two filings that catch directors out, so they’re separate below.

Confirmation statement

Due at least yearly, within 14 days of your review period ending. No fixed late penalty but the company can be struck off and directors prosecuted.

Annual accounts

Due 9 months after your financial year end. Penalties are automatic and rise the later you file. Read more on statutory accounts.
